Terms of Service
These iME Terms of Service (these “Terms”) describe your rights and responsibilities as a customer of our Platform. If you are being invited or added to a Platform set up by an iME customer, the User Notice governs your access and use of the Platform (and not these Terms).“iME”, “we” or “us” refers to interviewME Ltd. “You” means the entity you represent in accepting these Terms or, if that does not apply, you individually. If you are accepting on behalf of your employer or another entity, you represent and warrant that: (i) you have full legal authority to bind your employer or such entity to these Terms; (ii) you have read and understand these Terms; and (iii) you agree to these Terms on behalf of the party that you represent. If you do not have the legal authority to bind your employer or the applicable entity, please do not click “Sign Up” (or similar button or checkbox) that is presented to you. PLEASE NOTE THAT IF YOU SIGN UP FOR A PRODUCT USING AN EMAIL ADDRESS FROM YOUR EMPLOYER OR ANOTHER ENTITY, THEN (A) ANY COMPANY EMAIL ADDRESS BEING USED REQUIRES WRITTEN CONSENT FROM YOUR EMPLOYER, (B) YOU WILL BE DEEMED TO REPRESENT SUCH PARTY, (C) YOUR CLICK TO ACCEPT WILL BIND YOUR EMPLOYER OR THAT ENTITY TO THESE TERMS, AND (D) THE WORD “YOU” IN THESE TERMS WILL REFER TO YOUR EMPLOYER OR THAT ENTITY.The terms of use become binding from the effective date of the of the contract. These Terms do not have to be signed in order to be binding. You indicate your assent to these Terms by clicking “Sign Up” (or similar button or checkbox) at the time you register for the Platform, create a iME account, or place an Order.
1. What these Terms cover
1.1 iME Platform. These Terms govern our iME Platform, related Support, and Additional Services. These Terms include Our Policies (including our Privacy Policy), and your Orders.
2. How the iME Platform is Administered
2.1. Administrators. Through the iME platform, you may be able to specify certain End Users as Administrators, who will have important rights and controls over your use of the iME Platform and End User Accounts. This may include making Purchases for your account (which may incur fees); creating, de-provisioning, monitoring or modifying End User Accounts, and setting End User usage permissions; and managing access to Your Data by End Users or others. Without limiting Section 2.3 (Responsibility for End Users), which fully applies to Administrators, you are responsible for whom you allow to become Administrators and any actions they take, including as described above. You agree that our responsibilities do not extend to the internal management or administration of the iME Platform for you.
2.2. End User Consent. You will provide all required disclosures to and will obtain and maintain all required consents from End Users to allow:
(1) Administrators to have the access described in these Terms and the Privacy Policy;
(2) iME’s provision of the iME Platform to Administrators and End Users.
You will provide evidence of such consents upon our reasonable request.
2.3. Responsibility for End Users.
Our iME Platform has various user onboarding flows. Some iME Platform flows require users to be designated by Administrators; and some may allow users to invite other users, for example, a candidate. You are responsible for understanding the settings and controls for the iME Platform and for controlling whom you allow to become an End User. We are only required to provide the iME Platform to those End Users for whom you have paid the applicable fees, and only such End Users are permitted to access and use the iME Platform. Please note that you are responsible for the activities of all your End Users, including Orders they may place and how End Users use Your Data, even if those End Users are not from your organisation or domain.
2.4. Credentials. You must require that all your End Users keep their user IDs and passwords for the iME Platform strictly confidential and do not share such information with any unauthorised person. User IDs are granted to individual, named persons and may not be shared. You are responsible for any and all actions taken using your affiliated End User Accounts and passwords, and you agree to immediately notify us of any unauthorised use of which you become aware.
2.5. Age Requirement for End Users. The iME Platform is not intended for, and should not be used by, anyone under the age of 18. You are responsible for ensuring that all End Users are at least 18 years old.
3. What’s included in your Cloud Product subscriptions; what are the restrictions.
3.1. Access to the iME Platform. Subject to these Terms and during the applicable Subscription Term, you may access and use the iME Platform for your own business purposes or personal use, as applicable, all in accordance with these Terms, the applicable Order and the Documentation. The rights granted to you in this Section 3.1 are non-exclusive, non-sublicensable and non-transferable.
3.2 Support during the Subscription Term, we will provide Support for the iME Platform in accordance with our Support Policy (to the extent applicable), and the applicable Order.
3.3. Restrictions. Except as otherwise expressly permitted in these Terms, you will not:
(1) Reproduce, modify, adapt or create derivative works of the iME Platform;
(2) Rent, lease, distribute, sell, sublicense, transfer or provide access to the iME Platform to a third party outside of the intended use;
(3) Use the iME Platform for the benefit of any third party;
(4) Incorporate any part of the iME Platform into a product or service you provide to a third party;
(5) Interfere with or otherwise circumvent mechanisms in the iME Platform intended to limit your use;
(6) Reverse engineer, disassemble, decompile, translate or otherwise seek to obtain or derive the source code, underlying ideas, algorithms, file formats or non-public APIs to the iME Platform, except to the extent expressly permitted by applicable law (and then only upon advance notice to us);
(7) Remove or obscure any proprietary or other notices contained on the iME Platform;
(8) Use the iME Platform for competitive analysis or to build competitive products;
(9) Publicly disseminate information regarding the performance of the iME Platform;
(10) Encourage or assist any third party to do any of the foregoing.
4. Our security and data privacy policies
4.1. Security and Certifications. We implement and maintain physical, technical and administrative security measures designed to protect Your Data from unauthorized access, destruction, use, modification, or disclosure. We also maintain a compliance program that includes independent third-party audits and certifications.
4.2. Privacy. We collect certain data and information about you and your End Users in connection with you and your End Users’ use of the iME Platform and otherwise in connection with these Terms. We collect and use all such data and information in accordance with our Privacy Policy, which you acknowledge.
4.3. Improving the iME Platform. We are always striving to improve the iME Platform. In order to do so, we use analytics techniques to better understand how the iME Platform is being used. For more information on these techniques and the type of data collected, please read our Privacy Policy.
5. Terms that apply to Your Data
5.1. Using Your Data. You retain all right, title and interest in and to Your Data when submitted to the iME Platform. Subject to these Terms, and solely to the extent necessary to provide the iME Platform to you, you grant us a worldwide, limited term license to access, use, process, copy, distribute, perform, export, and display Your Data. We may also access your accounts, End User Accounts, and your accounts with End User permission in order to respond to your support requests.
5.2. Your Data Compliance Obligations. The Users and the use of the iME Platform (including use by your End Users) must always comply with these Terms, the Acceptable Use Policy and all Laws. You represent and warrant that:(1) You have obtained all necessary rights, releases and permissions to submit all Your Data to the iME Platform and to grant the rights granted to us in these Terms;(2) Your Data and its submission and use as you authorise in these Terms will not violate:(2.1) Any Laws;(2.2) Any third-party intellectual property, privacy, publicity or other rights(2.3) Any of your or our third-party policies or terms governing Your Data.Other than our express obligations under Section 4 (Our security and data privacy policies), we assume no responsibility or liability for Your Data, and you are solely responsible for Your Data and the consequences of submitting and using it with the iME Platform.
5.3. Your Indemnity. You will defend, indemnify and hold harmless us (and our Affiliates, officers, directors, agents and employees) from and against any and all claims, costs, damages, losses, liabilities and expenses (including reasonable attorneys’ fees and costs) resulting from any claim arising from or related to:
(1) Your breach of Section 2.3 (End User Consent) or any claims or disputes brought by your End Users arising out of their use of the iME Platform;
(2) Your breach (or alleged breach) of Sections 5.2 (Your Data Compliance Obligations) or 5.3 (No Prohibited Sensitive Personal Information);
(3) Your Materials.
This indemnification obligation is subject to you receiving:
(1) Prompt written notice of such claim (but in any event notice in sufficient time for you to respond without prejudice);
(2) The exclusive right to control and direct the investigation, defence or settlement of such claim;
(3) All reasonable necessary cooperation by us at your expense.
5.4. Removals and Suspension. We have no obligation to monitor any content uploaded to the iME Platform. Nonetheless, if we deem such action necessary based on your violation of these Terms, including Our Policies, or in response to takedown requests that we receive, we may:
(1) Remove Your Data from the iME Platform
(2) Suspend your access to the iME Platform.
We will use reasonable efforts to provide you with advance notice of removals and suspensions when practicable, but if we determine that your actions endanger the operation of the iME Platform or other users, we may suspend your access or remove Your Data immediately without notice. We have no liability to you for removing or deleting Your Data from or suspending your access to the iME Platform as described in this Section 5.4.
6. Additional Services
6.1. Additional Services. Subject to these Terms, you may purchase Additional Services like our Minute Top-Ups packages we will provide to you pursuant to the applicable subscription Purchase.
7. Billing, renewals, and payment
7.1. Monthly and Annual Plans. The iME Platform is offered. either on a monthly subscription basis or an annual subscription basis.
7.2. Renewals. Except as otherwise specified in your Purchase, unless either party cancels your subscription prior to expiration of the current Subscription Term, your subscription will renew indefinitely until cancelled. You will provide any notice of non-renewal through the means we designate, which may include account settings on the iME Platform or contacting our support team. Cancelling your subscription means that you will not be charged for the next billing cycle, but you will not receive any refunds or credits for amounts that have already been charged. All renewals are subject to will be charged at the then-current rates.
7.3. Adding Users. You may add users, or otherwise increase your use of the iME Platform by purchasing an available package for a new subscription or modifying an existing subscription. Unless otherwise specified in the applicable subscription, we will charge you for any increased use at our then-current rates, prorated for the remainder of the then-current Subscription Term.
7.4. Payment. You will pay all fees in accordance with each Purchase, by the due dates and in the currency specified in the Purchase. If a PO number is required in order for an invoice to be paid, then you must provide such PO number to iME by emailing the PO number to billing@i-me.tech.
7.5. Delivery. We will deliver the login instructions for the iME Platform to your account or through other reasonable means no later than when we have received payment of the applicable fees. You are responsible for accessing your account to determine that we have received payment and that your Purchase has been processed. All deliveries under these Terms will be electronic.
8. Our return policy
As part of our commitment to customer satisfaction you may request a refund of your initial purchase for access to the iME Platform or a Minute Top Up package under these Terms, for no reason or any reason, by submitting a request to us no later than thirty (30) days after the initial purchase date. In the event you apply under your initial Purchase under this Section 8, at your request (which may be made through your account with us), we will refund you the amount paid under such Purchase subject to our review. This termination and refund right applies only to your initial Purchase of a subscription to the iME Platform and only if you exercise your termination right within the period specified above. You understand that we may change this practice in the future in accordance with Section 16 (Changes to these Terms).
9. No contingencies on other products of future functionality
You agree that your purchases are not contingent on the delivery of any future functionality or features or dependent on any oral or written public comments we make regarding future functionality or features.
10. IP Rights on the iME Platform and Feedback
The iME Platform is made available on a limited access basis, and no ownership right is conveyed to you, irrespective of the use of terms such as “purchase” or “sale”. We have and retain all right, title and interest, including all intellectual property rights, in and to Our Technology. From time to time, you may choose to submit Feedback to us. We may in connection with any of our products or services freely use, copy, disclose, license, distribute and exploit any Feedback in any manner without any obligation, royalty or restriction based on intellectual property rights or otherwise. No Feedback will be considered your Confidential Information, and nothing in these Terms limits our right to independently use, develop, evaluate, or market products or services, whether incorporating Feedback or otherwise.
11. Confidentiality
Except as otherwise set forth in these Terms, each party agrees that all code, inventions, know-how and business, technical and financial information disclosed to such party (“Receiving Party”) by the disclosing party (“Disclosing Party”) constitute the confidential property of the Disclosing Party (“Confidential Information”), provided that it is identified as confidential at the time of disclosure or should be reasonably known by the Receiving Party to be confidential or proprietary due to the nature of the information disclosed and the circumstances surrounding the disclosure. Any of Our Technology and any performance information relating to the iME Platform will be deemed our Confidential Information without any marking or further designation. Except as expressly authorized herein, the Receiving Party will:
(1) Hold in confidence and not disclose any Confidential Information to third parties
(2) Not use Confidential Information for any purpose other than fulfilling its obligations and exercising its rights under these Terms.
The Receiving Party may disclose Confidential Information to its employees, agents, contractors and other representatives having a legitimate need to know, provided that they are bound to confidentiality obligations no less protective of the Disclosing Party than this Section 11 and that the Receiving Party remains responsible for compliance by them with the terms of this Section 11. The Receiving Party’s confidentiality obligations will not apply to information which the Receiving Party can document:
(1) Was rightfully in its possession or known to it prior to receipt of the Confidential Information;
(2) Is or has become public knowledge through no fault of the Receiving Party;
(3) Is rightfully obtained by the Receiving Party from a third party without breach of any confidentiality obligation;
(4) Is independently developed by employees of the Receiving Party who had no access to such information.
The Receiving Party may also disclose Confidential Information if so, required pursuant to a regulation, law or court order (but only to the minimum extent required to comply with such regulation or order and with advance notice to the Disclosing Party). The Receiving Party acknowledges that disclosure of Confidential Information would cause substantial harm for which damages alone would not be a sufficient remedy, and therefore that upon any such disclosure by the Receiving Party the Disclosing Party will be entitled to appropriate equitable relief in addition to whatever other remedies it might have at law.
12. Term and Termination
12.1. Term. These Terms are effective as of the Effective Date and expire on the date of expiration or termination of all Subscription Terms.
12.2. Termination for Cause. Either party may terminate these Terms (including all related Purchases) if the other party:
(1) Fails to cure any material breach of these Terms within thirty (30) days after notice;
(2) Ceases operation without a successor;
(3) Seeks protection under any bankruptcy, receivership, trust deed, creditors’ arrangement, composition or comparable proceeding, or if any such proceeding is instituted against that party (and not dismissed within sixty (60) days thereafter).
12.3. Termination for Convenience. You may choose to stop using the iME Platform and terminate these Terms (including all Purchases) at any time for any reason upon written notice to us, but, unless you are applying to terminate early pursuant to Section 8 (Our return policy), upon any such termination:
(1) You will not be entitled to a refund of any pre-paid fees;
(2) If you have not already paid all applicable fees for the then-current Subscription Term or related services period (as applicable), any such fees that are outstanding will become immediately due and payable.
13. Warranties and Disclaimer
13.1. Mutual Warranties. Each party warrants that the signatories are duly authorised to agree to these terms.
13.2. Our Warranties. We warrant, for your benefit only, that we use commercially reasonable efforts to prevent introduction of viruses, Trojan horses or similar harmful materials into the iME Platform (but we are not responsible for harmful materials submitted by you or End Users).
13.3. WARRANTY DISCLAIMER. EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION 13, ALL iME SERVICES, SUPPORT AND ADDITIONAL SERVICES ARE PROVIDED “AS IS,” AND WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, INCLUDING ANY WARRANTY OF NON-INFRINGEMENT, TITLE, FITNESS FOR A PARTICULAR PURPOSE, FUNCTIONALITY OR MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY. WITHOUT LIMITING OUR EXPRESS OBLIGATIONS IN THESE TERMS, WE DO NOT WARRANT THAT YOUR USE OF THE CLOUD PRODUCTS WILL BE UNINTERRUPTED OR ERROR-FREE, THAT WE WILL REVIEW YOUR DATA FOR ACCURACY OR THAT WE WILL PRESERVE OR MAINTAIN YOUR DATA WITHOUT LOSS. YOU UNDERSTAND THAT USE OF THE iME PLATFORM NECESSARILY INVOLVES TRANSMISSION OF YOUR DATA OVER NETWORKS THAT WE DO NOT OWN, OPERATE OR CONTROL, AND WE ARE NOT RESPONSIBLE FOR ANY OF YOUR DATA LOST, ALTERED, INTERCEPTED OR STORED ACROSS SUCH NETWORKS. WE CANNOT GUARANTEE THAT OUR SECURITY PROCEDURES WILL BE ERROR-FREE, THAT TRANSMISSIONS OF YOUR DATA WILL ALWAYS BE SECURE OR THAT UNAUTHORIZED THIRD PARTIES WILL NEVER BE ABLE TO DEFEAT OUR SECURITY MEASURES. WE WILL NOT BE LIABLE FOR DELAYS, INTERRUPTIONS, SERVICE FAILURES OR OTHER PROBLEMS INHERENT IN USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS OR OTHER SYSTEMS OUTSIDE OUR REASONABLE CONTROL. YOU MAY HAVE OTHER STATUTORY RIGHTS, BUT THE DURATION OF STATUTORILY REQUIRED WARRANTIES, IF ANY, WILL BE LIMITED TO THE SHORTEST PERIOD PERMITTED BY LAW.
14. Limitation of Liability
14.1. Consequential Damages Waiver. EXCEPT FOR EXCLUDED CLAIMS (AS DEFINED BELOW), NEITHER PARTY (NOR ITS SUPPLIERS) WILL HAVE ANY LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS FOR ANY LOSS OF USE, LOST OR INACCURATE DATA, LOST PROFITS, FAILURE OF SECURITY MECHANISMS, INTERRUPTION OF BUSINESS, COSTS OF DELAY, OR ANY INDIRECT, SPECIAL, INCIDENTAL, RELIANCE OR CONSEQUENTIAL DAMAGES OF ANY KIND, EVEN IF INFORMED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE.
15. Publicity Rights
We may identify you as an iME customer in our promotional materials. We will promptly stop doing so upon your request sent to support@i-me.tech.
16. Changes to these Terms
We may modify the terms and conditions of these Terms (including Our Policies) from time to time, with notice to you in accordance with Section 17.1 (Notices) or by posting the modified Terms on our website. Together with notice, we will specify the effective date of the modifications.
16.1. Paid Subscriptions. Except as otherwise indicated below, modifications to these Terms will take effect at the next renewal of your Subscription Term and will automatically apply as of the renewal date unless you elect not to renew pursuant to Section 7.2 (Renewals). Notwithstanding the foregoing, in some cases (e.g., to address compliance with Laws, or as necessary for new features) we may specify that such modifications become effective during your then-current Subscription Term. If the effective date of such modifications is during your then-current Subscription Term and you object to the modifications, then (as your exclusive remedy) you may terminate your affected Purchases upon notice to us, and we will refund you any fees you have pre-paid for use of the iME Platform for the terminated portion of the applicable Subscription Term. To exercise this right, you must provide us with notice of your objection and termination within thirty (30) days of us providing notice of the modifications. For the avoidance of doubt, any Purchase is subject to the version of these Terms in effect at the time of the Purchase.
16.2. Our Policies. We may modify Our Policies to take effect during your then-current Subscription Term in order to respond to changes in our products, our business, or Laws. In this case, unless required by Laws, we agree not to make modifications to Our Policies that, considered as a whole, would substantially diminish our obligations during your then-current Subscription Term. Modifications to Our Policies will take effect automatically as of the effective date specified for the updated policies.
17. General Provisions
17.1. Notices. Any notice under these Terms must be given in writing. We may provide notice to you through your Notification Email Address, your account or in-product notifications. You agree that any electronic communication will satisfy any applicable legal communication requirements, including that such communications be in writing. Any notice to you will be deemed given upon the first business day after we send it. You will provide notice to us by post to interviewME Ltd, First Floor Office, 3 Hornton Place, London, W8 4LZ, UNITED KINGDOM, Attn: General Counsel or email to support@i-me.tech.Your notices to us will be deemed given upon receipt.
17.2. Entire Agreement. These Terms are the entire agreement between you and us relating to the iME Platform and any other subject matter covered by these Terms and supersede all prior or contemporaneous oral or written communications, proposals and representations between you and us with respect to the iME Platform or any other subject matter covered by these Terms. No provision of any purchase or other business form employed by you will supersede or supplement the terms and conditions of these Terms, and any such document relating to these Terms will be for administrative purposes only and will have no legal effect.
17.3 Disputes. Any dispute which arises between you and us in respect of these Terms shall be referred to a committee comprising one of our representatives and you, who will both use their best endeavors to resolve the dispute within 14 (fourteen) business days of the dispute having been referred to them. If the dispute cannot be resolved in accordance with the foregoing, then, at our election, the dispute shall be finally resolved by the appropriate small claims court or legal process.
17.4 Survival. The expiration, cancellation or other termination of these Terms shall not affect the provisions of these Terms which expressly provide that they will operate after such expiration, cancellation or other termination or which of necessity must continue to endure after such expiration, cancellation or other termination, notwithstanding that the relevant clause may not expressly provide for such continuation.
17.5 Severability. Each of the provisions of Terms are separate and severable and enforceable accordingly. If any such term or condition is or becomes unenforceable for any reason whatsoever, that term or condition is severable from and shall not affect the validity of any other term or condition contained in these Terms.
17.6 Indulgences. No indulgence, leniency or extension of time which you or us may give each other, or allow each other in respect of the performance of any obligation hereunder, shall in any way prejudice the party giving or allowing the indulgence, leniency or extension or preclude such party from exercising any of its rights an enforcing the obligations of the other party in respect of these Terms.
17.7 Cession and assignment. We may on written notice to you cede all or any of our rights in connection with these Terms to any other person or entity, without your consent of the Borrower. You however may not cede, assign, delegate, alienate, transfer, sub-contract or otherwise part with any of your rights or obligations in terms of these Terms, other than with our express prior written consent.
18. Access and Scope of Services
18.1. Streaming Services. The iME Platform allows for event hosts (“Event Hosts”) to create, organise, host, promote, manage, and list online events, performances, gatherings, or similar functions, or a series thereof on the iME Platform (“Event” or “Events”) for Event attendees, panellists, sponsors, and alternative hosts (collectively “Event Participants”) to purchase or receive invites to and attend such Events, and for Event Hosts and Event Participants to interact on or through the Events Platform. Event Hosts, Event Participants, and other users of the iME Platform may each be referred to individually in these Terms as a “User” and collectively as “Users.”
18.2. Access and Eligibility. To access the iME Platform you must have a iME account in good standing. The iME Platform (and certain features thereof) is not available in all countries and iME reserves the right to restrict access based on region.
18.3 No Guarantee of Availability. Notwithstanding anything to the contrary in any other agreement between you and iME, iME does not guarantee or warrant the uninterrupted availability or accessibility of the iME Platform. iME may restrict the availability of all or part of the iME Platform or certain features thereof without notice at any time and for any reason, including to protect the security or integrity of the iME Platform, our servers, or to carry out maintenance for the iME Platform. iME may discontinue the iME Platform or any portion or feature thereof or modify the features of the iME Platform from time to time without prior notice.
18.4 Third-Party Links. The iME Platform may contain links to third-party websites or resources (“Third-Party Services”). Such Third-Party Services may be subject to different terms and conditions and privacy practices. iME is not responsible or liable for the availability or accuracy of such Third-Party Services, the content, products, or services available from such Third-Party Services, or their privacy practices. Links to such Third-Party Services are not an endorsement by iME of such Third-Party Services and use of such Third-Party Services is at your own risk.
18.5 Your responsibility for Bystanders. Before using the iME Platform, you are responsible for informing anyone within range of your device’s camera or microphone, including members of your household and guests, that they may be seen and heard by Users and others at their location. If you permit anyone to be within range of your device’s camera or microphone during an Event, you consent on their behalf, to the fullest extent permitted by law, to these Terms and the iME Privacy Policy.
18.6 Modification of Terms. iME may modify these Terms at any time. When we make changes to these Terms, we will post the revised Terms on the iME Website and update the “Last Updated” date at the top of these Terms. If you disagree with the revised Terms, you may terminate these Terms as provided herein. Any continued access to or use of the iME Platform after the date the revised Terms become effective will constitute your acceptance of the revised Terms.
19. User Content
19.1. User Content. All content, such as information, data, images, video, audio, material, and/or graphics, set forth on or distributed through the iME Platform by a User, including Event listings and live Events, is known as “User Content.” You are solely responsible for your User Content and you represent and warrant that your User Content complies with all laws pertaining to your User Content. You agree that any User Content that violates the iME Acceptable Use Policy, the iME Terms of Service Agreement, or these Terms, is a breach of these Terms.
19.2. License. Notwithstanding anything to the contrary in any other agreement between you and iME, by creating, uploading, posting, sending, receiving, storing, or otherwise making available any User Content on or through the iME Platform, you grant to iME a non-exclusive, worldwide, royalty-free, and irrevocable license to access, moderate, remove, edit, analyse, store, copy, reproduce, distribute, publish, transmit, stream, broadcast, and otherwise use such User Content to provide the iME Platform in a manner consistent with these Terms and the iME Privacy Statement. If you agree to be recorded in connection with an Event, you further agree that iME may display this recording on or through the iME Platform at the Event Host’s direction, including for commercial, promotional.
19.3 Reporting User Content. You acknowledge that the iME Platform features enable Users to report inappropriate behaviour during Events to iME ‘s team for review, and that such features enable Users to take screenshots of any activity they can see during Events and submit them to iME. iME reserves the right, but not the obligation, to monitor and review Event listings, Event reviews and other User Content, as well as any User reports of inappropriate behaviour during Events, to ensure compliance with these Terms, the law, and to protect against harm to the safety, rights or property of Users, iME, or others. If you become aware of any User Content that breaches these Terms or applicable law, please contact us using the link on the applicable Event listing, providing your full name and address, along with details of: (1) the date and time the content was posted; (2) where it can be found on the iME Platform; (3) the username of the person who posted it; (4) reasons why the content should be deleted, along with evidence for this; and (5) copies of any communication with the person who posted it (if any).
19.4 Investigations. Notwithstanding anything to the contrary in any other agreement between you and iME, iME further reserves the right to disclose any such User Content and other information to law enforcement or other governmental agencies as we believe reasonably necessary. Users also agree to provide iME with such cooperation and information and take such actions iME may reasonably request relating to any investigation undertaken by iME or its representatives regarding the use of the iME Platform or compliance with these Terms.
20. Use of the Events Platform
20.1. Event. Event Hosts are solely responsible for their Events and Event listings, including providing customer support for their Events. This includes, but is not limited to, providing complete and accurate information about the Event and disclosing any restrictions and requirements that may apply (such as proficiency, equipment, fitness requirements, etc.). You acknowledge and agree that iME is not obliged to mediate any disputes between you and any other User.
20.2. Event Tickets. When Users offer, sell, or buy tickets to an Event, including free tickets, they may be entering into a contract directly with each other. iME is not and does not become a party to or participant in any contractual relationship between Users, and iME is not acting as an agent for any User. Each Event ticket is a unique link that provides access to an Event for one User (“Ticket Link”). You may obtain tickets on behalf of others and share the Ticket Link with them, but to use the Ticket Link they must meet the requirements of Section 18.2 (Access and Eligibility). You are solely responsible for sharing or not sharing any such Ticket Links and acknowledge that neither iME nor the Event Host shall be liable for the use of a Ticket Link that you have shared. There may be laws applicable to the issuing or sale of tickets in a User’s jurisdiction, including laws to limit scalping and other forms of secondary ticket sales. Users are responsible for compliance with any such laws, and iME will have no liability for any loss suffered by any person arising from the application of such laws to any Event tickets.
20.3 Compliance with Laws and Regulations: Your use of the iME Platform must be in compliance with all applicable laws and regulations.
20.4 Prohibited Uses. In connection with your use of the iME Platform, you will not and will not assist or enable others to:
breach or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, these Terms, the iME Acceptable Use Policy, the iME Terms of Service or Service Agreement, or other applicable policies or rules;
promote or further any criminal activity or provide instructional information about illegal activities;
use the iME Platform in a way that is deceptive, fraudulent, false, or misleading;
copy, retain, or otherwise access or use any information, including personal data about any other User in any way that is inconsistent with these Terms or your own applicable privacy policies or that otherwise violates the privacy rights of Users or third parties, or applicable law;
infringe, disparage, dilute, tarnish or otherwise harm iME or any iME brand in any way;
act in a way that adversely affects, or could adversely affect the performance, security, or proper functioning of the iME Platform;
scrape, crawl, or use other automated or manual means or processes to access or collect data or other content from the iME Platform;
rent, lease, resell, distribute, or use the iME Platform for commercial purposes not allowed by these Terms, or otherwise exploit the iME Platform in any unauthorized manner;
infringe any third-party intellectual property rights or enable such infringement using the iME Platform;
use the iME Platform in a way that, in iME sole discretion, is objectionable, restricts or inhibits any other person from using or enjoying the iME Platform, or may expose iME or any Users to harm or liability of any type.
20.5. Ticket Cancellation. To the fullest extent permitted by applicable law and without limiting any other rights of iME herein, including the right to terminate or cancel any Event (including as the Event is occurring), iME may cancel tickets (including purchased tickets) or registrations if iME finds, in its sole discretion (1) that the Event Participant is in violation of applicable law, these Terms, the iME Terms of Service or Service Agreement, or iME policies or rules applicable to the iME Platform, (2) that Event Participant’s attendance may be harmful or objectionable to iME, its Users, or third parties, or (3) to comply with a court order.
20.6. Beta Features. iME may, from time to time, offer access to features or portions of the iME Platform that are classified as beta features. Access to and use of beta features may be subject to additional agreements. iME makes no representations that a beta feature or product will ever be made generally available and reserves the right to discontinue or modify a beta feature at any time without notice. Beta features and products are provided AS IS, may contain bugs, errors or other defects, and your use of a beta feature is at your sole risk.
21. Payment Terms, Fees and Taxes
21.1. Third-Party Payment Processing and Fees. Payment processing for the iME Platform, including for transactions between Event Hosts and ticket purchasers and collecting donations, will be performed by one or more third-party payment processors. Your use of a payment processor will be subject to additional terms and conditions between you and the payment processor, which may include transaction fees. iME is not responsible or liable for a payment processor’s performance or any actions taken by a payment processor including without limitation, declining your transaction, holding your funds, or requesting additional information from you. iME merely facilitates such transactions by collecting information from Users necessary to enable the payment processing and submitting it to the applicable payment processor.
21.2. Taxes. iME will add to the ticket price any required transaction-based taxes or fees that are required to be collected from the ticket purchaser and remitted to any taxing or regulatory authorities, consistent with applicable law.
22. Refunds and Cancellations
Because all transactions (including those processed by a third-party payment processor) are between you and the Event Host, iME is not responsible or liable for providing refunds for purchased tickets. Applicable cancellation and refund policies are set by the Event Host and posted on the Event listing. If you validly cancel a purchased ticket or registration that allows for refunds, or if an Event Host cancels an Event, you will receive a refund of the ticket price automatically. Unless otherwise agreed to by the Event Host or required by applicable law, Event Hosts are not required to honor any other form of cancellation or refund request (such as those outside the posted refund policy). You may also seek a refund as allowed under a third-party payment processor’s terms and conditions. Refunds will be made to the original means of payment used for the initial transaction. The timing for any refund or reimbursement or for any pre-authorization to be released will vary based on the payment method used and any applicable payment system (e.g., Visa, MasterCard, etc.) or third-party payment processor rules.
23. Ratings and Reviews
23.1. Ratings and Reviews. Event Participants may be able to submit a star rating (“Rating”) and/or write a review (“Review”) of Events they attend. Ratings and Reviews are User Content and reflect the opinions of individual Event Participants and do not reflect the opinion of iME. Ratings and Reviews are not verified by iME for accuracy and may be incorrect or misleading.
23.2. Guidelines for Ratings and Reviews. Ratings and Reviews must be truthful and accurate and you may not manipulate the Ratings and Review system, including, but not limited to, by: (1) offering or accepting a monetary or other reward for submitting a Rating or Review; (2) submitting a Rating or Review for your own Event; (3) submitting an inaccurate Rating or Review for a competitor’s Event; or (4) instructing or requesting another User to submit a positive or negative Rating or Review about an Event Host or Event
23.3. iME Use of Ratings and Reviews. Ratings and Reviews may be displayed on the Events Platform in iME sole discretion.
24. Copyright and Trademark Infringement
If you are a copyright or trademark owner or an agent of a copyright or trademark owner and you believe that any content on the iME Platform infringes your copyright, you may submit a notice to iME using the “Report this listing” button at the bottom of an Event listing or by following the directions provided in iME’s Copyright (DMCA) and Trademark Takedowns page.
25. Feedback
We welcome and encourage feedback and suggestions (“Feedback”) for the iME Platform. Any Feedback you provide will be considered non-confidential and you hereby grant to iME a perpetual, irrevocable, royalty-free, fully paid-up, worldwide, non-exclusive license to use and/or incorporate such Feedback into any iME product or service (including the iME Platform) at any time.
26. Privacy
Please note that we will only use your personal information in accordance with the iME Events Privacy Statement. Any personal information you share with Event Hosts, including attending recorded Events, is subject to their privacy policy, which we encourage you to review before sharing any personal information. You agree that your use of the iME Platform will comply with all applicable data protection and privacy laws and regulations.
27. Disclaimers
YOU AGREE THAT YOU ARE SOLELY RESPONSIBLE (TO US AND TO OTHERS) FOR YOUR ACTIVITY ON THE iME PLATFORM. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE iME PLATFORM OR PARTICIPATION IN ANY EVENT IS SOLELY AT YOUR OWN RISK. WE DO NOT ASSUME ANY LIABILITY OR MAKE ANY REPRESENTATIOS WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS, LEGAL OR IMPLIED, ARISING OUT OF, IN CONNECTION WITH OR WITH RESPECT TO ANY USER CONTENT OR EVENTS. YOU ACKNOWLEDGE THAT WE ARE UNDER NO OBLIGATION TO VERIFY THE BACKGROUND OR QUALIFICATIONS OF ANY HOST OR PARTICIPANT AND THAT WE DO NOT GUARANTEE ANY EVENT WILL MEET YOUR EXPECTATIONS OR CONFORM TO ITS DESCRIPTION. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL iME OR ITS AFFILIATES BE LIABLE FOR ANY ACT, ERROR, OR OMISSION BY ANY THIRD PARTY WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH A USER’S ATTENDANCE, USE OF, OR PARTICIPATION IN AN EVENT. YOU ACKNOWLEDGE THAT SOME EVENTS MAY CARRY INHERENT RISK, AND BY PARTICIPATING IN SUCH EVENTS, YOU CHOOSE TO ASSUME THOSE RISKS VOLUNTARILY. YOU ACKNOWLEDGE THAT SOME EVENTS MAY CARRY RISK OF ILLNESS, BODILY INJURY, DISABILITY, DAMAGE TO TANGIBLE PROPERTY, EMOTIONAL DISTRESS OR DEATH AND YOU FREELY AND WILLFULLY ASSUME THOSE RISKS BY CHOOSING TO PARTICIPATE IN THOSE EVENTS. YOU ASSUME FULL RESPONSIBILITY FOR THE CHOICES YOU MAKE BEFORE, DURING, AND AFTER YOUR PARTICIPATION IN ANY EVENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL iME OR ITS AFFILIATES BE LIABLE FOR ANY CLAIM WHETHER ARISING IN TORT (INCLUDING NEGLIGENCE), CONTRACT, CIVIL LIABILITY OR OTHERWISE, FOR ILLNESS, BODILY INJURY, DISABILITY, DAMAGE TO TANGIBLE PROPERTY, EMOTIONAL DISTRESS OR DEATH THAT ARISES IN CONNECTION WITH YOUR PARTICIPATION IN AN EVENT.
28. Termination and Suspension
28.1. Termination by iME. To the fullest extent permitted by applicable law, iME may suspend, limit, or terminate your access to or use of the iME Platform at any time, with or without notice, liability, or other obligation to you. Additionally, we may terminate these Terms at any time, without liability or other obligation to you, in the event we reasonably suspect that you may have violated these Terms, the iME Terms of Service or Service Agreement, iME Acceptable Use Policy, and other rules and policies set forth on or applicable to the iME Platform. Further, iME is entitled to disable or terminate the accounts of Users who repeatedly infringe intellectual property rights of others, including copyrights.
28.2. Termination by You. You may terminate these Terms at any time, for any reason, without notice by discontinuing all use of the iME Platform. You are solely responsible for requesting and obtaining any eligible refunds from the Event Host for previously purchased tickets or registrations prior to terminating. Any new or continued use of the iME Platform, including attendance at an Event, will be subject to these Terms. If your iME account is terminated or closed, these Terms and your use of the Events Platform shall terminate automatically.
28.3. Effect of Termination. Termination of these Terms does not automatically terminate any other agreement you may have with iME, including the iME Terms of Service or Service Agreement. All sections of these Terms which by their nature should survive termination will survive termination, including, without limitation, disclaimers and indemnification.
29. General Provisions
29.1. Assignment. Notwithstanding anything to the contrary in any other agreement between you and iME, you may not assign these Terms without iME prior written consent. iME may assign or transfer these Terms, at its sole discretion, without restriction.
29.2. Entire Agreement. These Terms, the iME Terms of Service or Service Agreement, and any documents incorporated into these Terms by reference, constitute the entire agreement between you and us regarding your use of the iME Platform as an Event Participant and supersedes all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of these Terms.
29.3. Severability. Each of the clauses of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining clauses will remain in full force and effect.
29.4. No Waiver. No failure by iME to enforce any of its rights related to the iME Platform or to a breach of these Terms in a particular situation will act as a waiver of such rights.
29.5. No Third-Party Beneficiaries. Except as expressly stated herein, these Terms shall not confer any rights or remedies upon any third party.
29.6. Governing Law and Jurisdiction. To the fullest extent permitted by applicable law, these Terms will be interpreted in accordance with the Choice of Law and Forum provision of the applicable iME Terms of Service or Service Agreement.
30. EU Terms
30.1. Sales Contract between the Event Host and Event Participant.
(a) When an Event Host sells or provides a ticket to an Event and you purchase or register for that Event and receive a confirmation email, this constitutes a legally binding agreement between the Event Host and you (the “Sales Contract”). iME is not a party to the Sales Contract and iME is not acting as an agent for either you or the Event Host.
(b) The Sales Contract requires that the Event Host provides the Event to you as described in the Event listing and you agree to pay the amount (if any) set out in the Event listing and during the order process. The terms of the Sales Contract shall include: (1) the information set out in the Event listing and the order process; and (2) the information set out in this section and any other provisions of these Terms relevant to the provision of the Event by the Event Host and the attendance of the Event by you.
(c) The Event Participant does not have the right to cancel the Sales Contract under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (or, for consumers resident in EU member states, the equivalent legislation implementing the Consumer Rights Directive 2011).
(d) The Sales Contract shall terminate: (1) if you exercise a right to cancel in accordance with the cancellation policy specified in the Event listing; (2) when the Event has been fully delivered; or (3) when a party’s iME account is terminated.
30.2. Termination by iME. iME may terminate these Terms or suspend your access to the iME Platform for any reason by giving you 30 days’ written notice. iME may also terminate these Terms, or suspend or limit your use of the iME Platform immediately and without prior notice and stop providing access to the iME Platform, if (1) you materially breach these Terms (including any other terms or policies incorporated herein), (2) you violate applicable laws, or (3) such action is necessary to protect the safety or property of iME, other Users, or third parties. Further, iME is entitled to disable or terminate the accounts of Users who repeatedly infringe intellectual property rights of others, including copyrights.
30.3. ODR Platform. If you are a consumer who is resident in the European Union and you wish to have more information on online dispute resolution, please follow this link to the website of the European Commission: http://ec.europa.eu/consumers/odr/. This link is provided as required by Regulation (EU) No 524/2013 of the European Parliament and of the Council, for information purposes only. iME is neither obliged nor willing to participate in online dispute resolution.
30.4. Assignment. iME is entitled to assign or transfer these Terms without restriction, provided that if such assignment will affect your rights or obligations under these Terms, we will notify you in advance, and you will have the right to terminate your agreement to these Terms.
30.5. Governing Law and Jurisdiction. To the fullest permitted by applicable law, these Terms are governed by Irish law. This means that your access to and use of the iME Platform and any dispute or claim arising out of or in connection with the iME Platform or these Terms (including non-contractual disputes or claims) will be governed by Irish law. Unless you are a consumer, you and iME agree that the courts of the Republic of Ireland shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation. If you are a consumer, you may bring any dispute which may arise under these Terms to the competent court of the Republic of Ireland or to the competent court of your country of habitual residence, so long as this country is within the UK, an EU Member State or Switzerland. iME shall bring any dispute which may arise under these Terms to the competent court of your country of habitual residence or domicile if within the UK, Switzerland or an EU Member State, or otherwise the competent court of the Republic of Ireland.
